I have an 06 CTS with exactly the same problem. Took it to dealership and they diognosed it as ECM gone and key lock cylinder. I have replaced the lock cylinder via locksmith, no change. I guess I'll find out if the ECM takes care of everything. Sorry I forgot to update. ECM fixed all the problems and is still working just fine.

Bobby Hey did you have to do the key relearn process once you replaced the ECM?? My car is throwing the anti theft crap and eats the key but will still start and run. Anyhow I was messing to know if I have to do the relearn process please let me know.
